Find a Plan that works for you!
Our entity formation service offering for future business owners are designed to get your business up and running and assist with ongoing tax compliance.
Most entity formation service providers are simply filing forms with the state. They don’t provide any tax, legal, or accounting advice to ensure you’re setting up the business in the best possible manner.
Our service offering provides a tax & legal consultation with an experienced tax attorney, and we offer straightforward fees with no hidden costs or hourly billing surprises.

Frequently Asked Questions
What entity type & state is best for my business?
There are many different types of entities to choose from in the U.S., and they each have different characteristics, pros, cons, and tax classifications.
The most popular entity types include the limited liability company (LLC), Corporation, Limited Partnership (LP), and Limited Liability Partnership (LLP).
We help you choose the appropriate entity type given the ownership structure, the type of business to be conducted, where the business will conduct its operations, and consider your long-term objectives.
How does tax compliance differ from a tax advisory engagement?
Tax compliance and preparation is generally done on an annual basis and reports what has already happened. Tax advisory & planning is a proactive approach throughout the year to reduce your overall tax burden and put more money in your pocket.
Do I need to be a U.S. citizen or resident to open a U.S. entity?
You don’t have to be a U.S. citizen or resident to open a U.S. company.
Many U.S. entities are formed by nonresidents who do not live in the U.S. and have no personal U.S. tax ID number.
Owning a U.S. company requires the business to file annual federal & state tax returns; however, it doesn’t necessarily mean the business or owners will owe U.S. taxes.
We can help with this analysis, choice of entity, and assist with the annual federal & state tax compliance filings.
What types of business and personal tax returns do you prepare?
We prepare business tax returns for partnerships (Form 1065), corporations (Form 1120), S corporations (Form 1120-S), and foreign corporations (Form 1120-F), and Form 5472 filings for nonresident owned single-member LLCs.
We prepare personal income tax returns for U.S. residents (Form 1040) and non-U.S. residents (Form 1040-NR).
What other types of tax returns do you prepare?
Many of our strategies utilize various forms of trusts, nonprofit entities, gift-tax planning, and other unique strategies that require less traditional tax filings.
We prepare domestic trust returns (Form 1041), foreign trust returns (Form 3520), nonprofit & private foundation returns (Form 990, 990-PF, and 990-T), gift tax returns (Form 709), split-interest charitable trusts (Form 5227), and other unique filings that are unfamiliar to most tax advisors.
We also assist with preparing other informational & withholding returns, such as Form 1099, Form 1042-S, and Forms 8804 & 8805.
Do you work with international business owners?
Absolutely. We work with individuals and companies around the world that have a U.S. company or U.S. operations. Our services include tax filings, income tax treaty analysis, optimization of earnings repatriation, and withholding tax compliance.
What if all of the strategies don’t work with my situation?
This is entirely normal and expected. We present the full range of strategies available to you, along with all the information you need to make an informed decision based on each strategy’s cost, tax savings, and complexity.
What if I need multiple entities or a unique entity type like a Series LLC?
If you need assistance creating a Series LLC or a holding company structure, we can provide guidance on the overall organizational structure and an adjusted fee quote for the entire project.
Schedule a call with us to learn more about the process.
Does my LLC really need an operating agreement?
Yes, it is highly recommended.
There are only a few states that explicitly require an LLC to have an operating agreement; however, a written agreement is always highly recommended.
Operating agreements help clarify ownership and financial rights, define governance and decision making responsibilities, reinforces liability protections, and can override certain default state laws that may be unfavorable to your business.
Whether your LLC has 1 owner or 50 owners, the operating agreement is always highly recommended.
