Foreign-Owned U.S. Disregarded LLC (Form 5472)

A non-U.S. person who owns a single-member disregarded LLC in the U.S. is generally required to file a Form 5472 with a proforma Form 1120 to disclose any reportable transactions made during the tax year.

U.S. Return of Partnership Income (Form 1065)

A Form 1065 is generally required for every domestic partnership, including multi-member LLCs, limited partnerships (LP), general partnerships (GP), and limited liability partnerships (LLP).

State Partnership Tax Returns
Fee: $150 per state partnership return

Partnerships established in a particular state may require a state partnership return. In addition, partnerships with state-source income in other states may require a nonresident partnership return.

Form 8825 (Rental Real Estate Income & Expense)
Fee: $100 for all rental real estate activites

Reports rental real estate activity from property owned by the partnership directly, or pass-through rental activity from other Schedule K-1s.
Forms 8804 & 8805 (Annual Return for Partnership Withholding Tax)
Fee: $200 for Form 8804 & 8805’s for each partner

Partnerships with nonresident partners may be required to file Forms 8804 & 8805 to report gross effectively connected income (ECI) and the related U.S. withholding taxes.

A U.S. partnership with U.S. source FDAP income allocated to nonresident partners may be required to withholding taxes on those allocations.

Partnerships with assets exceeding $10 million, or gross income of $35 million, may be required to file Schedule M-3 in lieu of Schedule M-1.

The Form 5471 is generally filed to report a U.S. person’s ownership interest in a controlled foreign corporation (CFC).

Not every Form 5471 requires the same schedules and attachments. The required schedules will depend upon what category of filer is the U.S. person.
Form 8621 (Passive Foreign Investment Company)
Fee: $100 per PFIC

If a partnership entity owns stock in a PFIC, the Form 1065 does not include a Form 8621 directly. Information on the PFICs are included as supplemental information with each partners’ Schedule K-1 package.
Form 8833 (Treaty Based Return Position)
Fee: $100

Report any treaty-based return positions on certain types of eligible income.
Form 8858 (Foreign DRE or Foreign Branch)
Fee: $700 per Form 8858

Report the U.S. partnership’s ownership interest in a foreign disregarded (FDE) entity or branch.
Form 8865 (Foreign Partnerhips)
Fee: $700 per Form 8865

Report the U.S. partnership’s ownership interest in a foreign partnership investment.
Form 8938 (Statement of Specified Foreign Financial Assets)

Disclose foreign financial assets & foreign bank accounts for the U.S. partnership.
FinCEN Form 114 (FBAR)
Fee: $100 for all foreign accounts

Report foreign bank accounts and other foreign financial assets held by the U.S. partnership.

U.S. Income Tax Return for an S Corporation (Form 1120-S)

A U.S. domestic entity which has filed an S corporation election (IRS Form 2553) is taxable as an S corporation for federal tax purposes and must file an annual Form 1120-S each tax year.

U.S. Income Tax Return for a Corporation (Form 1120)

A U.S. domestic corporation which has NOT filed an S corporation election is taxable as a corporation and must file an annual Form 1120 each year.

This includes a U.S. limited liability company (LLC) which has filed an election (Form 8832) to be taxed as a corporation.

U.S. Income Tax Return for a Foreign Corporation (Form 1120-F)

A foreign corporation engaged in a U.S. trade or business (USTOB) which generates effectively connected income (ECI) must generally file an annual Form 1120-F each tax year.

Foreign corporations with no USTOB may elect to file a “protective” Form 1120-F tax return.
